The offering consists of 10,714,286 shares of Series A common stock being offered by Pattern and 10,714,286 shares of Series A common stock being offered by existing stockholders (the “Selling Stockholders”). Pattern will not receive any proceeds from the sale of shares by the Selling Stockholders. In addition, certain Selling Stockholders have granted the underwriters a 30-day option to purchase up to an additional 3,214,285 shares of Pattern’s Series A common stock at the initial public offering price, less underwriting discounts and commissions.

Pattern will not receive any proceeds from the sale of shares by the Selling Stockholders. The initial public offering price is expected to be between $13.00 and $15.00 per share. Pattern has applied to list its Series A common stock on the Nasdaq Global Select Market under the ticker symbol “PTRN.”
