Redwire Corporation (NYSE: RDW) (“Redwire” or the “Company”), a global leader in aerospace and defense technology solutions, today announced the pricing of its upsized underwritten registered public offering of 15,525,000 shares of its common stock, at a price to the public of $16.75 per share (the “Offering”), for total gross proceeds of approximately $260 million. The Company also granted the underwriters a 30-day option to purchase up to an additional 2,328,750 shares of its common stock at the public offering price from the Company. The Offering is expected to close on or about June 18, 2025, subject to customary closing conditions.
The Company intends to use the net proceeds from the Offering for (i) general corporate purposes, including cash to the Company’s balance sheet to fund growth, (ii) the repurchase of a portion of Redwire’s convertible preferred stock pursuant to the previously disclosed limited repurchase right, thereby reducing overall dilution from the Offering and (iii) repayment of the previously disclosed seller note issued in connection with the Company’s acquisition of Edge Autonomy Intermediate Holdings, LLC (“Edge Autonomy”).
J.P. Morgan, BofA Securities and Morgan Stanley are acting as lead bookrunning managers and Texas Capital Securities, Truist Securities and Roth Capital Partners are acting as joint book-running managers for the Offering.
