Fortrea was formerly the clinical development and commercialization services business of Labcorp Holdings Inc., a life sciences and healthcare company. In June 2023, Labcorp spun off Fortrea as a standalone, publicly traded company. In connection with the Spin-Off, Labcorp and Fortrea entered into several transition services agreements (the "TSAs"), pursuant to which Fortrea pays Labcorp to provide certain transitional services for a set period, including information technology applications, network and security support and hosting, as well as finance, human resources, marketing, and other administrative support.

The Company allegedly made false and misleading statements and/or failed to disclose that: (1) Fortrea overestimated the amount of revenue the Pre-Spin Projects were likely to contribute to the Company's 2025 earnings; (2) Fortrea overstated the cost savings it would likely achieve by exiting the TSAs; (3) as a result, the Company's previously announced EBITDA targets for 2025 were inflated; (4) accordingly, the viability of the Company's post-Spin-Off business model, as well as its business and/or financial prospects, were overstated; and (5) as a result, the Company's public statements were materially false and misleading at all relevant times.

Vestis Corporation (NYSE:VSTS)

The Company provided investors with material information concerning Vestis' expected growth for the fiscal year 2025. PepGen Inc. (NASDAQ:PEPG)

PepGen had been evaluating PGN-EDO51 as a treatment for Duchenne muscular dystrophy in two Phase 2 clinical trials - the CONNECT1-EDO51 ("CONNECT1") and CONNECT2-EDO51 ("CONNECT2") studies. At all relevant times, the Company touted PGN-EDO51's clinical, regulatory, and commercial prospects, including PGN-EDO51's ability to produce the dystrophin protein and the design, prospects, and results of the CONNECT1 and CONNECT2 studies.

Rocket Pharmaceuticals, Inc. (NASDAQ:RCKT)

The Company's statements included, among other things, confidence in the drug's safety and efficacy, as well as the clinical trial's detailed protocol and Rocket's purported ability to meet the trial's endpoints as per the Company's ascribed timeline.

The Company allegedly provided these overwhelmingly positive statements to investors while, at the same time, disseminating materially false and misleading statements and/or concealing material adverse facts concerning the true state of RPA501's safety and clinical trial protocol; notably, that Rocket knew Serious Adverse Events (SAEs), including death of participants enrolled in the study, were a risk. In particular, Rocket amended the trial's protocol to introduce a novel immunomodulatory agent to the pretreatment regimen without providing this critical update to shareholders.
